Curriculum Vitae of the Directors

Gérard MESTRALLET (born 01.04.1949)
Gérard Mestrallet is aircraft engineer, graduate of École Polytechnique, IEP (Institut d'Études Politiques) and ENA (École Nationale d'Administration). He joined Compagnie de SUEZ as 'chargé de mission' in 1984. In 1986 he was appointed Deputy General Delegate for industrial matters. In February 1991 he was appointed CEO and Chairman of the General Management Committee of Société Générale de Belgique. In 1995 he became Chairman and General Manager of Compagnie de SUEZ, and subsequently, Chairman of the Directorate of SUEZ Lyonnaise des Eaux in June 1997. He was appointed Chairman and Executive Officer of SUEZ on 4 May 2001. He is Chairman of the Société Générale de Belgique and later of SUEZ-TRACTEBEL since 28 February 2001. He has been a director of Electrabel since 2003 and Chairman of the Board since 1 January 2005. Moreover, he is Chairman of the 'Association Paris Europlace' and of Hisusa (Spain), Vice-Chairman of Aguas de Barcelona (Spain), director of Saint-Gobain (France) en of Pargesa Holding (Switzerland) and member of the Supervisory Board of Axa (France).

 

Jean-Pierre HANSEN (born 25.04.1948)
Jean-Pierre Hansen is graduated in Civil Electromechanical Engineering, in economic science and is doctor in engineering. He entered the electricity and gas sector in 1975. As from 1 January 2005 Jean-Pierre Hansen has been Vice-Chairman and CEO of Electrabel, which function he already has exercised from 1992 to March 1999. Since March 1999 he has also held the position of Chairman of the Strategy Committee (previously Executive Committee) of Electrabel. He is also CEO of SUEZ-TRACTEBEL and Chairman of Fluxys. He is Executive Vice-Chairman of the Executive Committee, in charge of SUEZ Energy Europe and Senior Executive Vice-President of SUEZ, in charge of Operations. He is a director of SUEZ Energie Services (France), SUEZ Energy Services España, SUEZ Environnement (France), SUEZ Energy North America (SENA - US), AceaElectrabel, Electrabel Customer Solutions, Electrabel España, Electrabel Italia, Distrigas, Aguas de Barcelona (Agbar), ArcelorMittal, University of Liège, Eurelectric and of Institut Français des Relations Internationales (IFRI), member of the Supervisory board of Electrabel Nederland Coöperatieve and Electrabel Deutschland AG, Vice-Chairman of the Management Committee of the Federation of Enterprises in Belgium, member of the Board of Trustees of GUBERNA – Institute of directors and professor at UCL and École Polytechnique (Paris).

 

Emmanuel van INNIS (born 20.08.1947)
Emmanuel van Innis, Doctor of Law, has been involved in the electricity and gas sector since 1971. He is director of SUEZ-TRACTEBEL, member of the Executive Committee of SUEZ and Executive Vice-President in charge of Group Human Resources. He is also Chairman of Contassur, Insutrel, Telfin and C.E.F., Vice-Chairman of Fabricom and SUEZ Energy Services España, director of various subsidiaries within the Group, such as SUEZ Energie Services (France), SUEZ Energy North America (SENA - US), Distrigas, Cosutrel, SUEZ University, AceaElectrabel Produzione and Fabricom France. He is also Chairman of Brussels Enterprises Commerce and Industry (BECI) and member of the management committee of the Federation of Enterprises in Belgium, director of SN Airholding, Lithobeton and of NEIL. He has been a director of Electrabel since 1992, and was appointed Vice-Chairman in 1998 and member of the Strategy Committee (previously Executive Committee) in 2003.

 

Alain CHAIGNEAU (born 08.09.1951)
Alain Chaigneau, master in Economics and qualified from IAE Paris. After starting out his carreer for Banque de France then for Direction du Trésor, he joined in 1984 Compagnie de SUEZ as Deputy Manager. In 1989, he was appointed Manager for Planification and Strategy. From 1991 to 1995 he was a director of Société Générale de Belgique, to which he became Chief Financial Officer and member of the Management Committee in 1995. From 1999 to 2003, he was Executive Vice-President in charge of Finance and Administration of Ondeo Services. In 2003, he held the position of Senior Executive Vice-President responsible for Finance and Administration of SUEZ Environnement; in 2005 he was appointed Senior Executive Vice-President in charge of the Americas. Since 2007 he is Executive Vice-President in charge of Business Strategy and member of the Executive Committee of SUEZ. He is also director of SUEZ-TRACTEBEL en SUEZ Energie Services (France) and director and member of the Strategy committee of Electrabel since 2007.

 

Baron CROES (born 29.03.1934)
Baron Croes, graduated in mathematics and actuarial science, previously held various posts in the AG insurance group and Fortis, of which he was Executive board member until 1996. He is the President of the 'Institut Royal des Élites du Travail' and of the 'Collège Royal des Doyens d'honneur du Travail' and director of Tessenderlo-Chemicals and Forelux. He was previously director of the Société Générale de Belgique and of Tractebel. He has been a director of Electrabel since 1997 and Chairman of the Audit Committee since 2003.

 

Pierre DRION (born 10.01.1942)
Pierre Drion, Master of Science in Management and graduated in Commercial and Financial Science, is Managing Director of the Petercam Group. He is also Chairman of Spadel, director of Axa Belgium and of Axa Holdings Belgium. He has been a director of Electrabel since 2001.

 

Yves de GAULLE (born 01.09.1951)
Yves de Gaulle holds a degree in economic science, graduate of IEP (Institut d'Etudes politiques Paris) and alumnus of ENA (Ecole Nationale d'Administration). He began his career at the French Ministry for Finance (1977), to become later technical adviser (1986) to the deputy Minister responsible for privatisation and as General Secretary of the Privatisation Committee. In 1989, he was appointed Managing partner of the law firm KPMG/FIDAL, subsequently becoming a partner at law firm Jeantet (1991-1992). After joining the AGF/Allianz group in September 1992, Yves de Gaulle served as CEO of the group's subsidiary in Spain, deputy General Manager responsible for international affairs, member of the Executive Committee  and General Manager of the Euler group. Yves de Gaulle joined the SUEZ group in April 2004 and was appointed General Secretary on 1 July 2004. He has been a director of Cosutrel since september 2004, of SUEZ-TRACTEBEL since October 2004 and of Electrabel since May 2005. Moreover, he is director of Degremont en SUEZ University. He has also been a member of the Executive Committee of SUEZ since November 2005.

 

Luc HUJOEL (born 10.02.1951)
Luc Hujoel holds a master's degree in economics. He is Chairman of the College of Experts of Intermixt (Association of mixed intermunicipal companies). He is also Chief Executive Officer of Brussels Network Operations, General Manager of the Sibelga intermunicipal company, General Advisor to the Interfin intermunicipal company, Consultant to Sibelgas and General Manager of IBE-IBG. From 1997 to 1998 he represented Intermixt as a director of Electrabel. He has been a director of Electrabel on a personal capacity since 1998.

 

Gérard LAMARCHE (born 15.07.1961)
Gérard Lamarche, who holds a degree in Economic Science of the Université de Louvain-la-Neuve and of the Institute for Management of INSEAD (Advanced Management Program for SUEZ Executive). He attended also a Wharton International program (Forum-Global Leadership Series). He served as consultant and then senior accountant with Deloitte Haskins & Sells in the mid-eighties.  He joined Société Générale de Belgique in 1988 as controller and in 1992 became a member of the Corporate Strategy Group. In 1995, he joined Compagnie de SUEZ and served first as chief of staff for the Chairman, in 1997 as CEO, and eventually assumed the duties of Managing Director for Plan, Controlling and Accounting of SUEZ Lyonnaise des Eaux. In 2000, he accepted an assignment in the U.S. as Executive Vice President for Ondeo Nalco, then a SUEZ subsidiary, returning to SUEZ headquarters in 2003 to become Deputy General Manager in charge of Finance. In March 2004 he was appointed as Senior Executive Vice President Finance (Chief Financial Officer) and member of the Executive committee of SUEZ. Certain other directorships and positions: Chairman of Cosutrel and Genfina, director of SUEZ-TRACTEBEL, Distrigas, SUEZ Environnement (France), SUEZ Energie Services (France), Leo Holding Company, SUEZ Environment North America, Aguas de Barcelona, Legrand and KKR Guernsey GP Limited. He has been director of Electrabel since 2004. He is member of the Audit Committee (since 2005) and of the Strategy Committee (since 2006).

 

Jean-Pierre RUQUOIS (born 07.05.1944)
Jean-Pierre Ruquois holds a business degree, another in economics and a Master of Business Administration. He is Advisor to the Sofina Management and has been a director of Electrabel since 2001, after having represented Sofina on the Board of Directors for many years. He has been a member of the Audit Committee since 2003.

 

Lutgart VAN den BERGHE (born 07.11.1951)
Lutgart Van den Berghe holds a doctorate in economic science. She is also a full professor at the University of Ghent and the Vlerick Leuven Ghent Management School, where her main field of research is Corporate governance. At the Vlerick Leuven Ghent Management School she is also director and President of the Entrepreneurship, Governance and Strategy skills center. Prof. Dr. Lutgart Van den Berghe is Chief Executive Officer of the GUBERNA – Institute of Directors, a member of the Board of Commissioners of various multinational companies including CSM (NL) and SHV (NL). She has been a director of Belgacom. She is a director of Electrabel since 2003 and a member of the Appointments and Remuneration Committee since 2006.

 

Baron VANDEPUTTE (born 17.01.1946)
Tony Vandeputte is Doctor of law, baccalaureate in Philosophy, graduate in Notariat and Economics (K.U.Leuven) and then earned a Master of Science degree (Economics) from Edinburgh University. He was Chief Executive Officer of the Federation of Enterprises in Belgium until June 2004. Since then he has held the position of Honorary CEO and Honorary Regent to the National Bank of Belgium. Prior to his activities at the Federation of Enterprises in Belgium, Baron Vandeputte worked at the Bureau du Plan and taught at the UFSIA (Universitaire Faculteiten Sint Ignatius Antwerpen). He is also General Secretary of ICC-Belgium, Chairman of Prevent, director of Océ-Belgium and member of the General Council of the Vlerick Leuven Ghent Management School. Since 2004, he has been a director of Electrabel and a member of the Strategy Committee and of the Appointments and Remuneration Committee since 2006.

 

Baron van GYSEL de MEISE (born 14.09.1939)
Jean-Paul van Gysel de Meise has held various directorships with Sarma and Nopri, Sarma-Congo, Élevages des Marungu et Kundelungu in Katanga (Congo) and Brasserie de Haacht. He is Managing Director of the Plaza Hotel in Brussels. He was appointed director of Ebes in 1972 (later Electrabel), and from 1976 to 2000 he was director of the Société de Traction et d'Électricité (which later became Tractebel).

 

Baron VAN WAEYENBERGE (born 27.10.1938)
Piet Van Waeyenberge studied at the Universities of Louvain (degree in commercial and financial science, 1956-1960), Illinois (Master of Science in Agricultural Economics, 1962), Fontainebleau (Master of Business Administration at Insead, 1963) and Harvard (Advanced Management Program, 1978). He currently holds the following positions: Chairman of De Eik n.v, De Warande vzw, Indufin s.a. and of Cultura Stichting van Openbaar Nut, director of Fortis s.a., SUEZ Energie Services (independent director), Corelio n.v., Maison de la Radio Flagey s.a., Vlaamse Academische Stichting vzw, of Europalia International vzw, of the Fondation Francqui (Public Benefit Foundation) and of the Queen Elisabeth International Music Competition; honorary Chairman of the Vlaams Economisch Verbond (VOKA). He has been a director and a member of the Strategy Committee of Electrabel since 2006.

 

Geert VERSNICK (born 15.12.1956)
Geert Versnick is Doctor of Law and was a member of the Bar of Ghent from 1980 to 2000. In addition to holding a number of political offices he is a member of the Chamber of Representatives since 1994, and in this capacity he serves on numerous committees, both at national and European level. Since 2001 he has been Alderman of the City of Ghent and since 2006, in charge of Intermunicipal companies and financial participations. From May 1998 to November 2000 he represented Finiwo as a director on the Electrabel Board. He has been a director of Electrabel in a personal capacity since 2003. He is also Chairman of the 'OCMW Ghent' and of Eandis.
